1. About These Terms


These Terms of Use govern access to and use of the Hier websites, applications, mobile applications, Business dashboard and related services collectively referred to as “Hier” or the “Platform”.


Hier is operated by:

References to “Hier”, “we”, “us” and “our” mean HIER APPLICATIONS LIMITED.


By creating an account, accessing the Platform or using Hier, you agree to these Terms.


If you do not agree, you must not use Hier.


2. Definitions


In these Terms:


Business means an employer, recruiter, organisation or other business user using Hier.


Business User means an individual authorised to access Hier on behalf of a Business.


Candidate means an individual using Hier for employment, career or recruitment-related purposes.


Content means information, data, text, photographs, CVs, documents, job advertisements, messages and other material uploaded, generated or transmitted through Hier.


Referral Programme means any referral or reward programme operated by Hier.


User means any Candidate, Business or Business User using Hier.


3. Eligibility


You must be at least 16 years old to create a standard Hier Candidate account.


If you are aged 16 or 17, certain features may be restricted.


A Business User must be at least 18 years old and have authority to act on behalf of the relevant Business.


Unless a specific promotion expressly states otherwise, you must be at least 18 years old to participate in the Hier Referral Programme.


You must not use Hier if:


  • you are legally prohibited from doing so;

  • your previous account has been permanently banned and we have not authorised your return;

  • you provide false information about your identity or eligibility; or

  • you do not have authority to accept these Terms.


4. Creating an Account


You agree to provide information that is accurate and not deliberately misleading.


You must keep material account information reasonably up to date.


You must:


  • keep your login credentials confidential;

  • use reasonable security measures;

  • not permit unauthorised persons to use your account; and

  • notify us promptly if you suspect unauthorised access.


You are responsible for activity conducted through your account except to the extent caused by Hier's own breach of duty.


We may require identity, business or account verification where reasonably necessary to protect the Platform or other users.


5. Candidate Responsibilities


Candidates must use Hier honestly and lawfully.


You must not:


  • impersonate another person;

  • create deliberately misleading professional information;

  • upload a CV that you do not have the right to use;

  • falsify employment history, qualifications or experience;

  • submit fraudulent applications;

  • deliberately apply to jobs solely to manipulate a promotion or reward;

  • harass Businesses or other users;

  • use Hier for unlawful purposes; or

  • misuse information obtained through the Platform.


Candidates remain responsible for the accuracy of information supplied to prospective employers.


Hier does not verify every statement made by a Candidate.


6. Business Responsibilities


Businesses are responsible for their recruitment activity.


A Business must:


  • provide accurate business information;

  • advertise genuine opportunities;

  • ensure job advertisements are lawful;

  • ensure job descriptions are not misleading;

  • comply with employment and equality laws;

  • comply with data protection law;

  • maintain appropriate security;

  • use Candidate information only for legitimate and lawful recruitment-related purposes;

  • ensure authorised users are appropriately supervised;

  • keep application status information reasonably accurate where using Hier's recruitment workflow; and

  • comply with these Terms and the Data Processing and Data Sharing Addendum.


Businesses must not:


  • post fake or non-existent jobs;

  • post unlawfully discriminatory advertisements;

  • collect Candidate information for resale;

  • use Candidate information to build unrelated marketing databases;

  • sell, licence or redistribute Candidate information;

  • scrape Candidate profiles;

  • use Candidate information for unsolicited unrelated marketing;

  • ask Candidates to pay unlawful recruitment fees;

  • conduct scams or fraudulent recruitment;

  • misrepresent compensation, employment status or the nature of an opportunity;

  • use Candidate information for purposes incompatible with the reason it was provided; or

  • circumvent Platform controls to obtain information the Business is not authorised to access.


A Business that exports Candidate information from Hier becomes responsible for securely handling that information outside the Platform.


7. Hier's Role in Recruitment


Hier facilitates connections between Candidates and Businesses.


Unless expressly agreed otherwise in writing, Hier:


  • is not the employer;

  • is not a party to an employment contract between a Candidate and Business;

  • does not guarantee employment;

  • does not guarantee that a Candidate will apply for, interview for or accept a role;

  • does not guarantee that a Business will contact, interview or employ a Candidate;

  • does not independently verify every Candidate;

  • does not independently verify every Business or job advertisement; and

  • does not make final hiring decisions for Businesses.


Businesses remain responsible for recruitment due diligence.


Candidates remain responsible for deciding whether an opportunity is suitable.


8. Applications and Recruitment Statuses


Hier may allow Businesses to update the status of a Candidate's application.


Application stages and status indicators are intended to improve transparency but may depend on information or actions provided by the relevant Business.


Hier cannot guarantee that every status will be updated immediately or accurately.


A displayed status does not constitute:


  • an offer of employment;

  • a guarantee of interview;

  • a rejection unless clearly stated by the relevant Business;

  • a contractual promise by Hier; or

  • confirmation of a final recruitment decision.


9. AI-Assisted Features


Hier may provide AI-assisted or algorithmic features including:


  • job recommendations;

  • Candidate recommendations;

  • rankings;

  • shortlists;

  • summaries;

  • matching;

  • insights;

  • search assistance; and

  • fraud or abuse detection.


AI-generated information can contain errors and should not be treated as independently verified fact.


Businesses must not rely solely on an AI recommendation, score, ranking or summary when making a significant recruitment decision.


Businesses remain responsible for ensuring meaningful and lawful decision-making and for complying with applicable equality, employment and data protection law.


Hier does not guarantee that an AI-generated recommendation will identify the most suitable Candidate or opportunity.


10. Messaging and Communications


Hier may provide messaging or communication functionality.


Users must not use those features to:


  • threaten or harass another person;

  • send discriminatory or abusive content;

  • send sexually explicit material;

  • groom or exploit another person;

  • conduct fraud;

  • impersonate another person;

  • distribute malware;

  • send unlawful spam;

  • solicit illegal activity; or

  • otherwise breach these Terms.


We may restrict messaging, review reported communications or investigate activity where reasonably necessary for user safety, fraud prevention, legal compliance or enforcement.


11. Online Safety and Prohibited Content


Users must not upload, transmit, generate, request, promote or facilitate content that:


  • is illegal;

  • facilitates terrorism;

  • involves child sexual exploitation or abuse;

  • sexually exploits any person;

  • constitutes fraud;

  • facilitates scams;

  • promotes or assists serious criminal activity;

  • unlawfully threatens or harasses another person;

  • contains non-consensual intimate material;

  • encourages serious violence;

  • contains unlawful hate content;

  • unlawfully promotes suicide or self-harm;

  • contains pornography or sexually explicit content;

  • promotes eating-disorder content in a manner inappropriate for a service accessible to younger users;

  • infringes intellectual property rights;

  • breaches confidentiality;

  • contains malicious software;

  • attempts to unlawfully obtain another person's information; or

  • otherwise exposes users to unlawful or serious harm.


We may use proportionate systems, processes, moderation, access controls and enforcement measures designed to reduce the risk of illegal content and activity.


Where we become aware of content that we reasonably believe breaches these Terms or applicable law, we may:


  • remove it;

  • restrict access to it;

  • preserve relevant evidence;

  • suspend accounts;

  • terminate accounts;

  • report matters to law enforcement or regulatory authorities; or

  • take other proportionate action.


Where required by law, we may report detected child sexual exploitation and abuse material to the appropriate authority.


12. Reporting Content and Complaints


Users may report content, users or behaviour through available reporting functionality or by contacting:

Reports should provide enough information for us to identify and review the relevant issue.


We may prioritise reports based on risk and severity.


If your Content is removed, restricted or your account is suspended or banned, you may contact us if you believe the action was taken incorrectly.


We will operate an appropriate complaints process where required by applicable online safety law.


Where applicable under the Online Safety Act 2023, users may have the right to bring a claim for breach of contract where Hier removes or restricts user-generated content, or suspends or bans a user, contrary to these Terms.


13. User Content


You retain ownership of Content that you own.


By uploading Content to Hier, you grant HIER APPLICATIONS LIMITED a non-exclusive, worldwide, royalty-free licence for as long as reasonably necessary to:


  • host;

  • store;

  • reproduce technically;

  • format;

  • process;

  • transmit;

  • display;

  • moderate; and

  • otherwise use


that Content solely as reasonably necessary to operate, secure, improve and provide Hier and the features you request.


This licence does not transfer ownership of your Content to Hier.


You represent that you have the rights necessary to upload Content and permit us to process it as described.


14. Intellectual Property


Except for User Content, all intellectual property rights in the Hier Platform, including:


  • software;

  • source code;

  • databases;

  • branding;

  • logos;

  • design;

  • graphics;

  • product features;

  • platform architecture; and

  • proprietary content


are owned by HIER APPLICATIONS LIMITED or its licensors.


No rights are granted except the limited right to use Hier in accordance with these Terms.


You must not, except where expressly permitted by law:


  • reproduce Hier;

  • reverse engineer Hier;

  • copy proprietary functionality;

  • circumvent access controls;

  • create derivative services using our protected materials;

  • scrape the Platform;

  • systematically extract our database;

  • resell access;

  • use automated bots without permission; or

  • interfere with the Platform's operation.


15. Referral Programme


Hier may operate referral programmes from time to time.


The following terms apply to the current referral programme unless a particular campaign states otherwise.


15.1 Eligibility


Both the referrer and referred user must be eligible Hier users.


The referred user must be a genuine new Hier user.


Unless expressly stated otherwise, referral rewards are available only to users aged 18 or over.


15.2 Qualifying Referral


A referral qualifies only when:


  1. the referred user creates a genuine new Hier account through the applicable referral mechanism;

  2. the referral is correctly attributed to the referrer;

  3. the referrer has uploaded a CV to their Hier account;

  4. the referred user has uploaded a CV to their Hier account;

  5. the referrer has applied to at least one role through Hier;

  6. the referred user has applied to at least one role through Hier;

  7. the applications are genuine and not submitted solely to manipulate the Referral Programme; and

  8. Hier is reasonably satisfied that the referral complies with these Terms.


Both users must satisfy the requirements before either reward becomes payable.


Creating an account alone does not qualify for a reward.


15.3 Reward


For each Qualifying Referral:


  • the referrer is eligible for a £10 reward; and

  • the referred user is eligible for a £10 reward.


Rewards are ordinarily supplied as a digital voucher, gift card or reward link.


Rewards are not cash and cannot be exchanged for cash through Hier.


15.4 Processing


Hier validates qualifying referrals before submitting them for fulfilment.


Eligible rewards are ordinarily submitted to our reward provider in batches approximately every 14 days.


This does not mean that the reward is guaranteed to arrive within 14 days.


Third-party fulfilment and delivery time may apply after Hier submits the reward.


15.5 Giftcloud


Rewards may be fulfilled by Giftcloud Limited.


To fulfil an eligible reward, Hier may provide Giftcloud with limited information including:


  • name;

  • email address;

  • reward value; and

  • information necessary to identify the relevant campaign or reward.


Giftcloud may send the reward directly to the eligible user.


Giftcloud and the relevant merchant may impose additional redemption, expiry and usage conditions.


15.6 Fraud and Abuse


Hier may investigate and withhold, cancel or refuse a referral reward where we reasonably believe:


  • a user has referred themselves;

  • duplicate accounts have been created;

  • multiple accounts are controlled by the same person;

  • false information has been supplied;

  • an application was not genuine;

  • automated methods have been used to generate referrals;

  • referral attribution has been manipulated;

  • the programme has been exploited contrary to its intended purpose;

  • a user has breached these Terms; or

  • the referral is otherwise fraudulent or abusive.


We may request reasonable information to verify eligibility.


15.7 Sharing Referral Codes


Users decide independently whether and how to tell others about their referral identifier.


Users must not:


  • send unlawful unsolicited marketing;

  • spam individuals;

  • purchase or scrape contact lists for referral promotion;

  • impersonate Hier;

  • make misleading claims about Hier or the reward; or

  • use unlawful marketing practices.


15.8 Reward Availability


Rewards are subject to availability.


Where a particular reward becomes unavailable, Hier or its fulfilment provider may substitute an equivalent reward where reasonable.


15.9 Changes


Hier may amend, suspend or withdraw a Referral Programme.


Where reasonably practicable, changes will not remove a reward already validly earned before the change took effect.


This protection does not apply to rewards subsequently identified as fraudulent, duplicated, erroneous or otherwise invalid.


16. Paid Business Plans


Hier may offer paid Business plans.


The applicable:

  • price;

  • billing frequency;

  • features;

  • usage limits; and

  • subscription terms


will be shown when the Business subscribes.


Unless expressly stated otherwise, Business subscriptions renew automatically for successive billing periods until cancelled.


Businesses authorise us and our payment provider to collect applicable recurring charges.


A Business may cancel its subscription through available account functionality or by contacting us.


Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.


Fees already paid are non-refundable except where:


  • required by law;

  • expressly stated in the relevant offer; or

  • otherwise agreed by Hier.


We may change subscription pricing by giving reasonable notice before the new price applies to a future renewal.


Taxes may be added where legally applicable.


17. Business Authorised Users


A Business may permit employees, contractors or authorised representatives to access its account where supported by the relevant subscription.


The Business remains responsible for:


  • determining who is authorised;

  • removing access when no longer required;

  • ensuring authorised users comply with these Terms; and

  • activity carried out by authorised users acting within the Business's account.


Users must not share individual login credentials unless the Platform expressly supports shared access.


18. Privacy and Data Protection


Use of Hier is subject to our Privacy Policy.


Businesses must also comply with the Hier Data Processing and Data Sharing Addendum where applicable.


Where Businesses receive Candidate personal data, they must process it lawfully, fairly and securely.


A Business must not assume that access to Candidate data gives it unrestricted rights to use that information.


19. Service Availability and Changes


We aim to provide a reliable Platform but cannot guarantee uninterrupted availability.


We may:


  • carry out maintenance;

  • deploy updates;

  • change features;

  • fix security issues;

  • remove obsolete functionality;

  • impose reasonable usage limits; or

  • temporarily restrict access.


We will use reasonable care in operating Hier.


We are not liable merely because the Platform experiences temporary downtime outside our reasonable control.


20. Suspension and Termination


We may restrict, suspend or terminate an account where reasonably necessary because:


  • these Terms have been materially breached;

  • fraud is suspected;

  • user safety is at risk;

  • unlawful activity is suspected;

  • payment is overdue;

  • an account creates a security risk;

  • a Business is misusing Candidate data;

  • a User repeatedly abuses Platform functionality;

  • a regulator or authority requires action; or

  • continued access would expose Hier or another person to material legal or security risk.


Where appropriate, we may provide notice or an opportunity to appeal.


Immediate action may be taken where necessary to protect users, comply with law or prevent serious harm.


Users may stop using Hier at any time.


Termination does not remove rights or obligations accrued before termination.


21. Third-Party Services


Hier may integrate with or link to third-party services.


We are not responsible for the independent operation of a third-party service.


Third-party services may be governed by their own:


  • terms;

  • privacy policies;

  • merchant rules; and

  • eligibility requirements.


Use of a third-party service is subject to those terms where applicable.


22. Disclaimers


Nothing in these Terms excludes obligations that cannot lawfully be excluded.


Subject to that:


  • Hier does not guarantee employment;

  • Hier does not guarantee Candidate availability;

  • Hier does not guarantee any minimum number of applications;

  • Hier does not guarantee hiring outcomes;

  • Hier does not guarantee that User Content is accurate;

  • AI recommendations may contain errors;

  • recruitment decisions remain the responsibility of Businesses; and

  • Users must conduct their own appropriate checks.


23. Liability to Candidates and Other Consumers


Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:


  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • statutory consumer rights that cannot be excluded.


If you use Hier as a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.


We are not responsible for loss that was not reasonably foreseeable.


We are not responsible for business losses suffered by an individual using Hier wholly or mainly for personal purposes.


24. Liability to Businesses


This section applies to Businesses and Business Users acting for business purposes.


Nothing excludes or limits liability for:


  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • liability that cannot lawfully be limited.


Subject to those exceptions, Hier will not be liable for:


  • loss of profit;

  • loss of revenue;

  • loss of anticipated savings;

  • loss of business;

  • loss of opportunity;

  • loss of goodwill; or

  • indirect or consequential loss.


Subject to the exceptions above, Hier's aggregate liability to a Business arising out of or in connection with Hier during any 12-month period will not exceed the total fees paid or payable by that Business to Hier during the 12 months immediately preceding the event giving rise to the claim.


Where the Business has paid no fees, Hier's aggregate liability will not exceed £100.


These limitations apply to the fullest extent permitted by law.


25. Business Indemnity


A Business will indemnify HIER APPLICATIONS LIMITED against reasonable direct losses, liabilities, damages, regulatory costs and third-party claims arising from the Business's:


  • unlawful job advertisements;

  • unlawful discrimination;

  • infringement of third-party intellectual property;

  • unauthorised use of Candidate data;

  • breach of applicable data protection law;

  • fraudulent recruitment activity; or

  • material breach of Sections 6, 10, 11 or 18 of these Terms,


to the extent caused by the Business or its authorised users.


Hier must take reasonable steps to mitigate recoverable losses.


This clause does not create an indemnity for losses caused by Hier's own breach, negligence or unlawful conduct.


26. Changes to These Terms


We may amend these Terms where reasonably necessary because of:


  • legal or regulatory changes;

  • security requirements;

  • new features;

  • changes to the Platform;

  • supplier changes; or

  • changes to our business model.


Material changes will be communicated where appropriate.


Changes will normally apply prospectively.


If you continue using Hier after revised Terms take effect, the revised Terms will apply to your continued use, subject to applicable law.


27. Severability


If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in effect.


The affected provision will apply to the maximum extent legally enforceable.


28. No Waiver


A failure or delay by Hier to enforce a provision does not waive our right to enforce that or another provision later.


29. Assignment


Users may not transfer their rights under these Terms without our prior written consent.


Hier may transfer its rights and obligations as part of a corporate restructuring, financing, merger, acquisition or sale of the business, provided this does not unlawfully reduce consumer protections.


30. Entire Agreement


For Business users, these Terms, the applicable subscription terms, Privacy Policy and Data Processing and Data Sharing Addendum constitute the agreement governing use of Hier unless a separate signed agreement applies.


If a separately signed agreement expressly conflicts with these Terms, the signed agreement takes priority to the extent of the conflict.


31. Governing Law and Jurisdiction


These Terms are governed by the laws of England and Wales.


For Businesses, the courts of England and Wales have exclusive jurisdiction.


If you are a consumer, mandatory rights available to you under the law of the country in which you live are not affected, and you may be entitled to bring proceedings in your local courts.

Businesses remain responsible for ensuring meaningful and lawful decision-making and for complying with applicable equality, employment and data protection law.


Hier does not guarantee that an AI-generated recommendation will identify the most suitable Candidate or opportunity.


10. Messaging and Communications


Hier may provide messaging or communication functionality.


Users must not use those features to:


  • threaten or harass another person;

  • send discriminatory or abusive content;

  • send sexually explicit material;

  • groom or exploit another person;

  • conduct fraud;

  • impersonate another person;

  • distribute malware;

  • send unlawful spam;

  • solicit illegal activity; or

  • otherwise breach these Terms.


We may restrict messaging, review reported communications or investigate activity where reasonably necessary for user safety, fraud prevention, legal compliance or enforcement.


11. Online Safety and Prohibited Content


Users must not upload, transmit, generate, request, promote or facilitate content that:


  • is illegal;

  • facilitates terrorism;

  • involves child sexual exploitation or abuse;

  • sexually exploits any person;

  • constitutes fraud;

  • facilitates scams;

  • promotes or assists serious criminal activity;

  • unlawfully threatens or harasses another person;

  • contains non-consensual intimate material;

  • encourages serious violence;

  • contains unlawful hate content;

  • unlawfully promotes suicide or self-harm;

  • contains pornography or sexually explicit content;

  • promotes eating-disorder content in a manner inappropriate for a service accessible to younger users;

  • infringes intellectual property rights;

  • breaches confidentiality;

  • contains malicious software;

  • attempts to unlawfully obtain another person's information; or

  • otherwise exposes users to unlawful or serious harm.


We may use proportionate systems, processes, moderation, access controls and enforcement measures designed to reduce the risk of illegal content and activity.


Where we become aware of content that we reasonably believe breaches these Terms or applicable law, we may:


  • remove it;

  • restrict access to it;

  • preserve relevant evidence;

  • suspend accounts;

  • terminate accounts;

  • report matters to law enforcement or regulatory authorities; or

  • take other proportionate action.


Where required by law, we may report detected child sexual exploitation and abuse material to the appropriate authority.


12. Reporting Content and Complaints


Users may report content, users or behaviour through available reporting functionality or by contacting:

Reports should provide enough information for us to identify and review the relevant issue.


We may prioritise reports based on risk and severity.


If your Content is removed, restricted or your account is suspended or banned, you may contact us if you believe the action was taken incorrectly.


We will operate an appropriate complaints process where required by applicable online safety law.


Where applicable under the Online Safety Act 2023, users may have the right to bring a claim for breach of contract where Hier removes or restricts user-generated content, or suspends or bans a user, contrary to these Terms.


13. User Content


You retain ownership of Content that you own.


By uploading Content to Hier, you grant HIER APPLICATIONS LIMITED a non-exclusive, worldwide, royalty-free licence for as long as reasonably necessary to:


  • host;

  • store;

  • reproduce technically;

  • format;

  • process;

  • transmit;

  • display;

  • moderate; and

  • otherwise use


that Content solely as reasonably necessary to operate, secure, improve and provide Hier and the features you request.


This licence does not transfer ownership of your Content to Hier.


You represent that you have the rights necessary to upload Content and permit us to process it as described.


14. Intellectual Property


Except for User Content, all intellectual property rights in the Hier Platform, including:


  • software;

  • source code;

  • databases;

  • branding;

  • logos;

  • design;

  • graphics;

  • product features;

  • platform architecture; and

  • proprietary content


are owned by HIER APPLICATIONS LIMITED or its licensors.


No rights are granted except the limited right to use Hier in accordance with these Terms.


You must not, except where expressly permitted by law:


  • reproduce Hier;

  • reverse engineer Hier;

  • copy proprietary functionality;

  • circumvent access controls;

  • create derivative services using our protected materials;

  • scrape the Platform;

  • systematically extract our database;

  • resell access;

  • use automated bots without permission; or

  • interfere with the Platform's operation.


15. Referral Programme


Hier may operate referral programmes from time to time.


The following terms apply to the current referral programme unless a particular campaign states otherwise.


15.1 Eligibility


Both the referrer and referred user must be eligible Hier users.


The referred user must be a genuine new Hier user.


Unless expressly stated otherwise, referral rewards are available only to users aged 18 or over.


15.2 Qualifying Referral


A referral qualifies only when:


  1. the referred user creates a genuine new Hier account through the applicable referral mechanism;

  2. the referral is correctly attributed to the referrer;

  3. the referrer has uploaded a CV to their Hier account;

  4. the referred user has uploaded a CV to their Hier account;

  5. the referrer has applied to at least one role through Hier;

  6. the referred user has applied to at least one role through Hier;

  7. the applications are genuine and not submitted solely to manipulate the Referral Programme; and

  8. Hier is reasonably satisfied that the referral complies with these Terms.


Both users must satisfy the requirements before either reward becomes payable.


Creating an account alone does not qualify for a reward.


15.3 Reward


For each Qualifying Referral:


  • the referrer is eligible for a £10 reward; and

  • the referred user is eligible for a £10 reward.


Rewards are ordinarily supplied as a digital voucher, gift card or reward link.


Rewards are not cash and cannot be exchanged for cash through Hier.


15.4 Processing


Hier validates qualifying referrals before submitting them for fulfilment.


Eligible rewards are ordinarily submitted to our reward provider in batches approximately every 14 days.


This does not mean that the reward is guaranteed to arrive within 14 days.


Third-party fulfilment and delivery time may apply after Hier submits the reward.


15.5 Giftcloud


Rewards may be fulfilled by Giftcloud Limited.


To fulfil an eligible reward, Hier may provide Giftcloud with limited information including:


  • name;

  • email address;

  • reward value; and

  • information necessary to identify the relevant campaign or reward.


Giftcloud may send the reward directly to the eligible user.


Giftcloud and the relevant merchant may impose additional redemption, expiry and usage conditions.


15.6 Fraud and Abuse


Hier may investigate and withhold, cancel or refuse a referral reward where we reasonably believe:


  • a user has referred themselves;

  • duplicate accounts have been created;

  • multiple accounts are controlled by the same person;

  • false information has been supplied;

  • an application was not genuine;

  • automated methods have been used to generate referrals;

  • referral attribution has been manipulated;

  • the programme has been exploited contrary to its intended purpose;

  • a user has breached these Terms; or

  • the referral is otherwise fraudulent or abusive.


We may request reasonable information to verify eligibility.


15.7 Sharing Referral Codes


Users decide independently whether and how to tell others about their referral identifier.


Users must not:


  • send unlawful unsolicited marketing;

  • spam individuals;

  • purchase or scrape contact lists for referral promotion;

  • impersonate Hier;

  • make misleading claims about Hier or the reward; or

  • use unlawful marketing practices.


15.8 Reward Availability


Rewards are subject to availability.


Where a particular reward becomes unavailable, Hier or its fulfilment provider may substitute an equivalent reward where reasonable.


15.9 Changes


Hier may amend, suspend or withdraw a Referral Programme.


Where reasonably practicable, changes will not remove a reward already validly earned before the change took effect.


This protection does not apply to rewards subsequently identified as fraudulent, duplicated, erroneous or otherwise invalid.


16. Paid Business Plans


Hier may offer paid Business plans.


The applicable:

  • price;

  • billing frequency;

  • features;

  • usage limits; and

  • subscription terms


will be shown when the Business subscribes.


Unless expressly stated otherwise, Business subscriptions renew automatically for successive billing periods until cancelled.


Businesses authorise us and our payment provider to collect applicable recurring charges.


A Business may cancel its subscription through available account functionality or by contacting us.


Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.


Fees already paid are non-refundable except where:


  • required by law;

  • expressly stated in the relevant offer; or

  • otherwise agreed by Hier.


We may change subscription pricing by giving reasonable notice before the new price applies to a future renewal.


Taxes may be added where legally applicable.


17. Business Authorised Users


A Business may permit employees, contractors or authorised representatives to access its account where supported by the relevant subscription.


The Business remains responsible for:


  • determining who is authorised;

  • removing access when no longer required;

  • ensuring authorised users comply with these Terms; and

  • activity carried out by authorised users acting within the Business's account.


Users must not share individual login credentials unless the Platform expressly supports shared access.


18. Privacy and Data Protection


Use of Hier is subject to our Privacy Policy.


Businesses must also comply with the Hier Data Processing and Data Sharing Addendum where applicable.


Where Businesses receive Candidate personal data, they must process it lawfully, fairly and securely.


A Business must not assume that access to Candidate data gives it unrestricted rights to use that information.


19. Service Availability and Changes


We aim to provide a reliable Platform but cannot guarantee uninterrupted availability.


We may:


  • carry out maintenance;

  • deploy updates;

  • change features;

  • fix security issues;

  • remove obsolete functionality;

  • impose reasonable usage limits; or

  • temporarily restrict access.


We will use reasonable care in operating Hier.


We are not liable merely because the Platform experiences temporary downtime outside our reasonable control.


20. Suspension and Termination


We may restrict, suspend or terminate an account where reasonably necessary because:


  • these Terms have been materially breached;

  • fraud is suspected;

  • user safety is at risk;

  • unlawful activity is suspected;

  • payment is overdue;

  • an account creates a security risk;

  • a Business is misusing Candidate data;

  • a User repeatedly abuses Platform functionality;

  • a regulator or authority requires action; or

  • continued access would expose Hier or another person to material legal or security risk.


Where appropriate, we may provide notice or an opportunity to appeal.


Immediate action may be taken where necessary to protect users, comply with law or prevent serious harm.


Users may stop using Hier at any time.


Termination does not remove rights or obligations accrued before termination.


21. Third-Party Services


Hier may integrate with or link to third-party services.


We are not responsible for the independent operation of a third-party service.


Third-party services may be governed by their own:


  • terms;

  • privacy policies;

  • merchant rules; and

  • eligibility requirements.


Use of a third-party service is subject to those terms where applicable.


22. Disclaimers


Nothing in these Terms excludes obligations that cannot lawfully be excluded.


Subject to that:


  • Hier does not guarantee employment;

  • Hier does not guarantee Candidate availability;

  • Hier does not guarantee any minimum number of applications;

  • Hier does not guarantee hiring outcomes;

  • Hier does not guarantee that User Content is accurate;

  • AI recommendations may contain errors;

  • recruitment decisions remain the responsibility of Businesses; and

  • Users must conduct their own appropriate checks.


23. Liability to Candidates and Other Consumers


Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:


  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • statutory consumer rights that cannot be excluded.


If you use Hier as a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill.


We are not responsible for loss that was not reasonably foreseeable.


We are not responsible for business losses suffered by an individual using Hier wholly or mainly for personal purposes.


24. Liability to Businesses


This section applies to Businesses and Business Users acting for business purposes.


Nothing excludes or limits liability for:


  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • liability that cannot lawfully be limited.


Subject to those exceptions, Hier will not be liable for:


  • loss of profit;

  • loss of revenue;

  • loss of anticipated savings;

  • loss of business;

  • loss of opportunity;

  • loss of goodwill; or

  • indirect or consequential loss.


Subject to the exceptions above, Hier's aggregate liability to a Business arising out of or in connection with Hier during any 12-month period will not exceed the total fees paid or payable by that Business to Hier during the 12 months immediately preceding the event giving rise to the claim.


Where the Business has paid no fees, Hier's aggregate liability will not exceed £100.


These limitations apply to the fullest extent permitted by law.


25. Business Indemnity


A Business will indemnify HIER APPLICATIONS LIMITED against reasonable direct losses, liabilities, damages, regulatory costs and third-party claims arising from the Business's:


  • unlawful job advertisements;

  • unlawful discrimination;

  • infringement of third-party intellectual property;

  • unauthorised use of Candidate data;

  • breach of applicable data protection law;

  • fraudulent recruitment activity; or

  • material breach of Sections 6, 10, 11 or 18 of these Terms,


to the extent caused by the Business or its authorised users.


Hier must take reasonable steps to mitigate recoverable losses.


This clause does not create an indemnity for losses caused by Hier's own breach, negligence or unlawful conduct.


26. Changes to These Terms


We may amend these Terms where reasonably necessary because of:


  • legal or regulatory changes;

  • security requirements;

  • new features;

  • changes to the Platform;

  • supplier changes; or

  • changes to our business model.


Material changes will be communicated where appropriate.


Changes will normally apply prospectively.


If you continue using Hier after revised Terms take effect, the revised Terms will apply to your continued use, subject to applicable law.


27. Severability


If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue in effect.


The affected provision will apply to the maximum extent legally enforceable.


28. No Waiver


A failure or delay by Hier to enforce a provision does not waive our right to enforce that or another provision later.


29. Assignment


Users may not transfer their rights under these Terms without our prior written consent.


Hier may transfer its rights and obligations as part of a corporate restructuring, financing, merger, acquisition or sale of the business, provided this does not unlawfully reduce consumer protections.


30. Entire Agreement


For Business users, these Terms, the applicable subscription terms, Privacy Policy and Data Processing and Data Sharing Addendum constitute the agreement governing use of Hier unless a separate signed agreement applies.


If a separately signed agreement expressly conflicts with these Terms, the signed agreement takes priority to the extent of the conflict.


31. Governing Law and Jurisdiction


These Terms are governed by the laws of England and Wales.


For Businesses, the courts of England and Wales have exclusive jurisdiction.


If you are a consumer, mandatory rights available to you under the law of the country in which you live are not affected, and you may be entitled to bring proceedings in your local courts.
